1. These General Conditions shall apply to all supplies of products and services by SABAH and/or any subsidiary/affiliate of Sabah Group, unless otherwise agreed in writing.
2. These General Conditions shall apply together with any sales and/or supply contract between SABAH and Purchaser. In case of any discrepancy or inconsistency between the Contract and these General Conditions, the Contract shall prevail.
3. Only information and data included in the Contract and/or the General Conditions are binding on SABAH. All other information, such as that contained in brochures or price lists, is binding only to the extent expressly incorporated into the Contract.
4. All drawings and technical descriptions related to the Product submitted by SABAH remain the property of SABAH and may not be shared with third parties without written consent.
5. Any trade term agreed in the Contract shall be construed in accordance with INCOTERMS 2010. All deliveries by SABAH shall be Ex Works unless otherwise agreed in writing.
6. Any Product-related rules or requirements from public authorities must be expressly referred to in the Contract to be binding.
7. Delivery will be made no later than the date agreed in the Contract. If no date is specified, SABAH will choose a reasonable delivery date.
13. Unless otherwise agreed, the purchase price shall be paid on the delivery date. Payment is considered complete only when the full amount has been irrevocably credited to SABAH' account.
17. All Products shall remain the property of SABAH until full payment is received. This does not affect the transfer of risk.
18. SABAH will address any defect or non-conformity resulting from faulty design, materials, or workmanship.
26. SABAH’ liability for death, injury, or property damage caused by defects in the Product is limited to EU product liability legislation.
30. Either party may suspend obligations if performance is affected by events such as fire, war, or industrial disputes.
33. Each party may suspend obligations if it is evident that the other will not perform its obligations.
34. Both parties shall maintain the confidentiality of any shared information, except as required by law or for fulfilling obligations under the Contract.
